These Terms and Conditions apply to all chemXplore Products and Services as may be ordered by our Customers through our website. ChemXplore Products and Services are provided by Darueber B.V.
Licence
Authorized Users and Subscribers may use the Service for their own private or business research, and for this purpose they may:
- display the Materials on screen;
- make personal printouts of the data
- download and store a personal digital copy of insubstantial portions of the data.
Copyright
The compilation of all content on this service, such as text, graphics, logos, icons, images, digital downloads, data compilations and software, is the property of Darueber B.V. and protected by international copyright laws. All software used on this site is the property of Darueber B.V. or its software suppliers and is protected by international copyright laws.
Authorized Users and Subscribers may not
- resell the Service or parts of the Service to others
- make the Service or Materials available to any unauthorized person on a local area network, a wide area network, or on an intranet or extranet
- not enlarge, download, store, reproduce, transmit, display, copy, distribute or use the Materials in any manner other than as permitted in the license description below,
- decompile, disassemble, or reverse engineer the computers, software programs, databases, or other systems used by Darueber B.V. to provide the Service
- use the Service for illegal purposes, nor transmit or post or cause to be posted any information that is defamatory or violates the legal rights of others, nor use the Service to send unsolicited promotional or advertising materials, or any volume messages that may interfere with the delivery of the Service.
- use any data mining, robots or similar search and extraction tools to reuse any substantial part of this website without the express written consent of Darueber B.V.
- use any substantial parts of this website (e.g. product listings or organization asset information) on your own website without our express written consent.
Intellectual Property
All intellectual property and other rights in the Service and Materials (whether in machine readable or printed form) belong to Darueber B.V. Authorized Users and Subscribers do not acquire ownership of the Service or Materials except to the extent expressly permitted by these terms and conditions, and may not use the Service or Materials in any manner that infringes the intellectual property rights therein.
Content
Content and features may be added to and removed from the Service without notice. The information included in the Service is provided for reference only. They are not intended to replace professional advice or judgment, or to provide legal or other advice regarding specific circumstances. Every effort is made to keep the content up-to-date, but Authorized Users should seek independent research or advice before relying on any information in circumstances where loss or damage may occur. The Service and Materials are provided on an "as is" basis and Darueber B.V., to the fullest extent permitted by law, excludes all implied warranties as to fitness for a particular purpose.
Access to the data
Usernames and Passwords must not be made available to unauthorized persons for the purpose of using the Service. If we suspect that a username and password is being used by an unauthorized person, we may cancel it; We may suspend access to the Service at any time without compensation if we suspect a breach of these terms on reasonable grounds.
Reseller

Returns of our services
The nature of the information sold entails that Darueber B.V. cannot accept returns of our services after the access to the service has been purchased by the customer.
Indemnify
You agree to indemnify and hold Darueber B.V., and its subsidiaries, affiliates, officers, agents or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Service, your connection to the Service, your violation of the TOS, or your violation of the rights of another.
Liability
Darueber B.V.'s total liability in connection with the use of the Service shall not exceed the actual direct damages, excluding lost profits or loss of business suffered by the Subscriber, or the amount paid by the Subscriber for the Service, during the annual subscription period in which the damages occurred, whichever is less. Darueber B.V. shall not be liable for indirect or consequential damages.
Darueber B.V.'s liability for interruptions in the availability of the Service caused by circumstances within its control will not exceed the amount paid by the Subscriber for access to the Service during the period of unavailability. Darueber B.V.'s sole obligation with respect to interruptions caused by circumstances beyond its control is to use all reasonable efforts to restore the Service.
Personal Information
All personal information provided to or collected by Darueber B.V. is managed by Darueber B.V. The information we receive from customers helps us to personalize and continuously improve the delivery of our service. We use the information to process orders; deliver products and services; process payments; communicate with you about orders, products, services and promotional offers; as well as update our records and generally maintain your account with us. We also use this information to improve our service, prevent or detect fraud or abuse of our website, and enable third parties to perform technical, logistical or other functions on our behalf. We may record telephone calls for training and verification purposes.

Darueber B.V. does not share information it receives
Information about our customers is an important part of our business and we do not share or sell this information to third parties. Darueber B.V. shares customer information only as described below. Third Party Service Providers: We hire other companies and individuals to perform functions on our behalf. These may include providing customer service, fulfilling orders, processing credit card payments and analyzing data. They have access to the personal information needed to perform their functions, and may not use it for any other purpose. Further, they must process the personal information in accordance with this Privacy Policy and as permitted by applicable data protection laws.

We restrict access to personal information to Darueber B.V.'s employees, contractors, agents and suppliers who need to know that information in order to process it for us, and who are subject to strict contractual confidentiality obligations.

Retention period of personal information
Different types of personal data are retained for different periods of time. Personal data is only retained for as long as Darueber B.V. has a legitimate basis for retaining the data. Personal data you provide when you sign up for our email marketing lists is retained until you unsubscribe. After you unsubscribe, we retain minimal information. Personal data provided as part of a contract between us will be retained for a period of 3 years after the contract has ended.

Law and jurisdiction
These terms and conditions shall be interpreted in accordance with the laws of the Netherlands and any disputes shall be subject to the exclusive jurisdiction of the Dutch courts. Effective November 1, 2021, these terms will apply to all new Subscribers and to all renewing Subscribers from the date of their renewal.
