ORLEN and Synthos to Build Poland's First SMR Plant in Włocławek

Agreement Details

ORLEN and Synthos Green Energy have finalized negotiations on the operating model of OSGE, securing equal partner rights and access to U.S. SMR technology. The agreement includes a revised version of the company's articles of association and shareholder agreement, granting both parties a 50% equity stake and equal rights in strategic corporate matters.

Technology and Location

The BWRX-300 reactor technology, developed by U.S.-based GE Vernova, will be used for Poland's first small modular reactor (SMR) plant. Włocławek has been designated as the priority location for this project, which is of strategic importance for ORLEN.

Governance and Management

ORLEN and Synthos Green Energy will alternate in appointing the President of the Management Board and the Chair of the Supervisory Board of OSGE every three years. A Steering Committee will oversee the agreement's implementation and manage operational matters related to OSGE and future reactor projects.

Future Plans

According to ORLEN's corporate strategy, at least two SMR units with a combined capacity of 0.6 GW are planned by 2035. A special purpose vehicle controlled by ORLEN will be responsible for the construction of the SMR facility in Włocławek.
