On 18 December 2025, Synthos S.A. signed an agreement with ORLEN S.A. to sell 100% of its shares in the company S54. The transaction is valued at approximately PLN 692 million. S54 is currently constructing a new butadiene extraction unit in Płock.

Background and Purpose

The collaboration between Synthos and ORLEN on the butadiene unit began several years ago as part of a petrochemical development program in Płock. The sale is part of an investment reorganization process initiated due to ongoing delays in the Olefins III project. This agreement aims to create a stable framework for continued business cooperation between the two companies.

Accompanying Agreements

Alongside the main sale agreement, Synthos and ORLEN have concluded several accompanying contracts. These agreements regulate commercial relations and are adapted to the current legal status and the new schedule of the New Chemistry investment.
