Background
Topsoe and First Ammonia have collaborated since 2022; in 2024 they signed supply and service agreements for 100 MW of SOEC electrolyzer modules for First Ammonia’s green ammonia project at Port of Victoria, Texas.
Termination
The supply agreements contained milestone-driven deadlines; despite multiple extensions at First Ammonia’s request, First Ammonia failed to take required steps by the final deadline, causing the agreements to automatically terminate when Topsoe could not extend further.
Remaining commitments
Topsoe maintains a separate 50 MW offtake agreement with Forestal and says it remains committed to its contractual obligations under that agreement.
Strategic Roadmap Review
Topsoe will assess the path to industrial-scale commercialization of its SOEC technology in a Strategic Roadmap Review expected to be completed by the end of Q2 2026.
