Strategic transactions and corporate actions
OCI completed a series of disposals and monetisations in H1 2026, including sale of its global ammonia distribution business to AGROFERT, handover of Beaumont New Ammonia to Woodside, and full monetisation of its Methanex holding. An agreement with AGROFERT covers the sale of an initial 50% interest in OCI Nitrogen, with closing expected by H2 2027 and put/call mechanisms for the remaining 50% exercisable from two years after completion.
Proposed combination and cash offer
OCI is progressing a proposed combination with Orascom Construction and an alternative all‑cash public offer from NNS at EUR 4.10 per share (offer period opened 15 September 2026 and is scheduled to close 17 November 2026). The Independent Directors unanimously recommend the Offer; the Enterprise Chamber directors support availability of the Offer and OCI convened an extraordinary general meeting for 30 October 2026. Completion of the Combination is currently expected in Q4 2026, subject to approvals and conditions.
Financial presentation and H1 highlights
With no Continuing Operations remaining, OCI’s results are presented entirely as Discontinued Operations and APM adjustments have been discontinued. Group net profit was USD 1 million in H1 2026. Held‑for‑sale net cash stood at USD 1.05 billion at 30 June 2026, reflecting transaction receipts and disposals.

OCI Nitrogen reported H1 revenue of USD 534 million and operating profit of USD 53 million but recorded a net loss of USD 175 million after a USD 215 million impairment. European gas price increases and weaker product prices and demand have driven margin pressure, with materially worse performance in July–August 2026 and an outlook reflecting continued challenging market conditions.
