Nextchem (MAIRE) to acquire MEAB AB and MEAB GmbH

Key highlights
  • Deal signed to acquire 100% of MEAB AB (Sweden) and MEAB GmbH (Germany) with closing expected in Q4 2026.
  • Consideration up to €8.0m: €4.0m upfront on a debt‑free/cash‑free basis plus an earn‑out of up to €4.0m tied to four years of performance.
  • MEAB specialises in proprietary hydrometallurgical and solvent‑extraction technologies and engineering services for precious metals, rare earths, base and strategic metals.
  • MEAB brings over 20 engineers and two applied research centres in the Gothenburg area and Aachen, which will join Nextchem’s network.

Transaction

Nextchem has signed binding agreements to acquire the entire share capital of MEAB AB (Sweden) and MEAB GmbH (Germany). Closing is expected in the fourth quarter of 2026. The consideration is a maximum of €8.0 million: an upfront payment of €4.0 million on a debt‑free, cash‑free basis subject to customary closing adjustments, plus an earn‑out of up to €4.0 million linked to the companies’ financial performance over the following four financial years.

Capabilities acquired

Founded in 1970, MEAB develops proprietary technologies and supplies specialised equipment for hydrometallurgical and solvent‑extraction processes. Its offering covers applied research, laboratory testing, feasibility studies, process development, engineering, supply of proprietary equipment, installation assistance, commissioning, operator training and plant performance optimisation for the separation, recovery and purification of precious metals, rare earth elements, base metals and other strategic materials.

Assets and people

MEAB operates with a workforce of more than 20 engineers and two applied research centres located near Gothenburg (Sweden) and Aachen (Germany). These centres will become part of Nextchem’s network, extending the Group’s geographical and technological coverage.

Strategic rationale

The acquisition strengthens Nextchem’s position in inorganic chemistry and technologies for critical and strategic raw materials, complements its phosphoric acid purification capabilities, and increases exposure to circular solutions for resource recovery from secondary streams, supporting development of high‑purity products and valorisation of mining resources and residues.
