Messer will acquire a 30% stake in the companies holding four Lhyfe renewable hydrogen production sites in France and Germany and sign a 10‑year supply agreement for renewable hydrogen sourced from those sites.

Commercial terms

The deal includes a minimum purchase commitment starting in 2026 that is expected to increase gradually and reach several hundred tonnes per year. Messer aims to purchase half of the output from the three French sites covered by the agreement.

Supply will include RFNBO‑certified hydrogen, which Messer plans to offer within its multi‑gas portfolio to support customers’ decarbonisation needs.

Strategic and financial impact

For Lhyfe the transaction is its first capital rotation, intended to improve revenue visibility through recurring cash flows and to strengthen the Group’s financial profile. Lhyfe will continue to fully consolidate the companies holding the sites, retain majority exposure to their growth and remain the exclusive operator, invoicing operation and management services.

Conditions and next steps

Completion is expected in the coming months and remains subject to lenders’ consent under existing financing documentation. Messer will contribute safety, operations, logistics and gas‑handling expertise to support site performance and commercial ramp‑up.
