Acquisition Overview

Holcim has signed an agreement to acquire building materials and solutions operations in Colombia from Cemex. This acquisition is projected to generate net sales of approximately USD 360 million by 2026.

Expansion Details

The transaction will expand Holcim's presence in Colombia by adding more than 20 production sites. These include the Caracolito cement plant, Santa Rosa grinding station, and various ready-mix concrete, aggregates, mortars, and admixtures plants.

Financial Impact

The acquisition is valued at USD 485 million, with a pro forma 2026 EBITDA multiple of around 5x after expected synergies. These synergies are projected to be around USD 30 million by the third year, making the deal EPS accretive in the first year and ROIC accretive by the third year.

Strategic Alignment

This acquisition aligns with Holcim's NextGen Growth 2030 strategy, focusing on growth in the Latin American region. It complements Holcim's existing operations in Colombia, which include a cement plant in Nobsa, multiple ready-mix concrete plants, and over 150 Disensa retail stores.
