Transaction

AGROFERT has reached an agreement to acquire a 50% stake in Nitrogen Intermediate Holding B.V. The deal also contains a put/call option covering the remaining 50% interest.

Option terms

The put/call option may be exercised by either OCI or AGROFERT starting two years after the closing of the initial transaction.

Conditions

The closing is subject to approval by the relevant competition authorities and to completion of other customary transactional steps.

Company comment

Petr Cingr, Vice‑Chairman of AGROFERT's board, said the agreement supports stability and efficiency in fertilizer and industrial nitrogen production and that AGROFERT will develop the acquired assets to support the value chain from fertilizers to food production and long‑term food security in Europe.
