On 27 August 2026 Boliden and Votorantim agreed that Boliden will acquire all Votorantim shares in Nexa Resources in exchange for newly issued Boliden shares. The Board proposes that the EGM authorise an issue‑in‑kind limited to shares issued as consideration for the Nexa shares held by Votorantim (representing 64.68% of Nexa). Other terms will be set by the Board and the CEO is authorised to make minor registration adjustments.
Board changes
The Nomination Committee proposes increasing the Board by one member to ten and electing Flavio Mendes Aidar, nominated by Votorantim. His election is conditional on completion of the Transaction, EGM approval of the issue‑in‑kind and approval or inaction by the Swedish Inspectorate of Strategic Products; the Board recommends approval of the related EGM resolutions.
