NOVA Chemicals Holding GmbH is an Austrian holding company based in Vienna that has served as the primary investment vehicle for Mubadala Investment Company PJSC in the North American petrochemical industry.
Founded in 2009 as a wholly owned subsidiary of IPIC Holdings GmbH (Austria), itself part of the Mubadala group, the company was the sole owner of NOVA Chemicals Corporation until its divestment. NOVA Chemicals Corporation is a major producer of polyethylene and ethylene, operating production facilities in Canada (including Joffre, Alberta and Sarnia, Ontario) and the United States, with significant nameplate capacities in these key polyolefins.
The holding company's core activities encompass the management of investments in chemical and petrochemical businesses, along with the provision of internal group services such as consulting, administration, controlling, and strategic oversight related to participations and investments.
In the context of a major industry transaction, ADNOC entered into a share purchase agreement with Nova Chemicals Holding GmbH (an indirectly wholly owned Mubadala entity) for 100% of NOVA Chemicals Corporation. The deal, valued at approximately $13.4 billion including debt, was completed in March 2026 by Borouge plc and Borealis AG as part of the formation of Borouge Group International, creating a global polyolefins leader with over $60 billion enterprise value.
Positioned within the Mubadala portfolio, the company has facilitated strategic expansion in energy-derived chemicals. Following the transaction, it continues operations as a holding entity focused on group investments in the sector.
